These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Phoenix Peptide Labs, a Delaware limited liability company (“Company,” “we,” “us,” or “our”), governing your access to and use of the website located at www.phoenixpeptidelabs.com (the “Site”) and all products, services, and content offered through the Site.
BY ACCESSING THE SITE, CREATING AN ACCOUNT, OR PLACING AN ORDER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SITE OR PURCHASE ANY PRODUCTS.
1. Eligibility
You must meet all of the following requirements to use the Site and purchase products:
- Age: You must be at least eighteen (18) years of age. By placing an order or creating an account, you represent and warrant that you are 18 years of age or older.
- Capacity: You have the legal capacity to enter into a binding contract under the laws of your jurisdiction.
- Location: You are located within the United States. We ship exclusively within the United States and do not accept orders for international delivery.
- Intended use: You are purchasing products solely for in-vitro laboratory research, forensic analysis, educational purposes, or other qualifying non-human scientific applications.
We reserve the right, at our sole discretion, to refuse service, terminate accounts, or cancel orders if we have reason to believe any of these eligibility requirements are not met.
2. Research Use Only — Product Intended Use Disclaimer
All products sold through the Site are intended exclusively for in-vitro laboratory research, forensic analysis, and other qualifying non-human, non-veterinary scientific purposes. Products are NOT intended for human consumption, injection, ingestion, inhalation, or any form of self-administration. Products are NOT intended for veterinary use, diagnostic procedures, therapeutic applications, or any clinical use.
All products are labeled “For Research Use Only — Not for Human Consumption.” By purchasing from Phoenix Peptide Labs, you represent and warrant that:
- You will use the products strictly for lawful research purposes in compliance with all applicable federal, state, and local laws and regulations.
- You will not administer, dispense, distribute, or facilitate the use of any product for human or animal consumption.
- You understand that these products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) for any human or veterinary use.
- You are aware that the statements and information on the Site have not been evaluated by the FDA and are not intended to diagnose, treat, cure, or prevent any disease or medical condition.
Violation of this Section constitutes a material breach of these Terms and may result in immediate account termination, order cancellation, and forfeiture of any refund eligibility.
3. Account Registration
You may browse the Site and place orders as a guest or as a registered user.
3.1 Account Creation
When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at support@phoenixpeptidelabs.com if you become aware of any unauthorized access to or use of your account.
3.2 Account Termination
You may request deletion of your account at any time by contacting customer support. We reserve the right to suspend or terminate any account, with or without notice, for any reason, including but not limited to: violation of these Terms, suspected fraudulent activity, or use of products in a manner inconsistent with their intended research purpose
4. Orders, Pricing & Payment
4.1 Product Descriptions and Pricing
We make commercially reasonable efforts to ensure that product descriptions, specifications, and pricing on the Site are accurate and up to date. However, we do not warrant that product descriptions or pricing are error-free. If a product is listed at an incorrect price or with materially inaccurate information, we reserve the right to cancel the order and issue a full refund, regardless of whether the order has been confirmed.
4.2 Order Acceptance
Placing an order constitutes an offer to purchase. All orders are subject to our acceptance. We reserve the right to refuse or cancel any order for any reason, including but not limited to: product unavailability, pricing errors, suspected fraud, or failure to meet eligibility requirements. An order is not considered accepted until we send a shipping confirmation email with a tracking number.
4.3 Payment
All prices are listed in U.S. dollars. Payment is due in full at the time of purchase. We accept the payment methods displayed at checkout. All payment transactions are processed by our PCI DSS-compliant third-party payment processor(s). We do not store your full credit card, debit card, or bank account information on our servers.
4.4 Sales Tax
Applicable state and local sales taxes will be calculated and added at checkout based on the shipping destination, in accordance with applicable law.
5. Subscription and Auto-Ship Programs
5.1 Enrollment
We may offer optional subscription or auto-ship programs that deliver selected products to you on a recurring schedule at a frequency you choose (e.g., every 30, 60, or 90 days). By enrolling in a subscription, you authorize us to charge your payment method on file at the then-current price on each scheduled renewal date.
5.2 Renewal and Billing
Subscriptions renew automatically at the end of each billing cycle unless canceled. We will send you a reminder email at least seven (7) days before each renewal date, specifying the amount to be charged and the products to be shipped. If your payment method is declined, we will notify you and may reattempt the charge within seven (7) days. If payment cannot be collected, your subscription will be paused until the issue is resolved.
5.3 Cancellation and Modification
You may cancel, pause, or modify your subscription at any time through your account dashboard or by contacting customer support at support@phoenixpeptidelabs.com. Cancellations must be received at least forty-eight (48) hours before the next scheduled renewal date to prevent the next charge. Cancellation takes effect at the end of the current billing cycle; no partial-period refunds will be issued. Products already shipped under a subscription are subject to our Refund and Return Policy.
5.4 Price Changes
We may adjust subscription pricing with at least fourteen (14) days’ advance written notice to you by email. If you do not cancel your subscription before the new pricing takes effect, you will be charged the updated amount on the next renewal date.
6. Shipping and Delivery
We ship to addresses within the United States only. We do not ship to P.O. Boxes, APO/FPO addresses, or U.S. territories unless expressly stated otherwise.
- Processing time: Orders are typically processed within one (1) to three (3) business days of payment confirmation.
- Shipping methods: Available shipping options and estimated delivery times are displayed at checkout.
- Tracking: A tracking number will be provided via email once your order has shipped.
- Risk of loss: Risk of loss and title to products transfers to you at the time the shipment is tendered to the carrier.
Phoenix Peptide Labs is not responsible for shipping delays, losses, or damage caused by the carrier after the package has been accepted for delivery. For claims related to damaged, lost, or incorrect shipments, please refer to our Refund and Return Policy, which is incorporated into these Terms by reference.
7. Refund and Return Policy
All sales are final. Due to the sensitive, sterility-dependent, and temperature-controlled nature of our products, we do not accept general returns or offer refunds for change of mind. Limited exceptions apply for incorrect items shipped, verified product identity failures, and transit damage, as described in our separate Refund, Return & Cancellation Policy, available at Privacy Policy – Phoenix Peptide Labs. That policy is incorporated into these Terms by reference.
8. Intellectual Property
All content on the Site – including but not limited to text, graphics, logos, product images, data compilations, software, and the overall design and layout of the Site – is the property of Phoenix Peptide Labs or its licensors and is protected by United States copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any content from the Site without our prior written consent, except for the limited purpose of viewing and printing pages for your own personal, non-commercial research reference.
“Phoenix Peptide Labs” and our logo are trademarks of Phoenix Peptide Labs. You may not use our trademarks without our prior written permission.
9. Prohibited Conduct
In connection with your use of the Site, you agree not to:
- Use the Site or any products purchased through the Site for any unlawful purpose or in violation of these Terms.
- Provide false, misleading, or inaccurate information when creating an account or placing an order.
- Impersonate any person or entity or misrepresent your affiliation with any person or entity.
- Attempt to gain unauthorized access to the Site, its servers, or any accounts or data belonging to other users.
- Use any automated means (bots, scrapers, crawlers) to access, extract data from, or interact with the Site without our express written permission.
- Interfere with or disrupt the integrity, security, or performance of the Site or its underlying infrastructure.
- Resell, redistribute, or commercially exploit any products purchased from the Site without our prior written authorization.
- Use any product purchased through the Site for human or animal consumption, diagnostic use, therapeutic application, or any purpose other than lawful in-vitro research.
10. Disclaimers
10.1 No Medical or Therapeutic Claims
The information provided on the Site is for educational and research reference purposes only. Nothing on the Site constitutes medical advice, a diagnosis, a treatment recommendation, or an endorsement of any product for human therapeutic use. The statements on the Site have not been evaluated by the U.S. Food and Drug Administration. Our products are not intended to diagnose, treat, cure, or prevent any disease or medical condition.
10.2 Warranty Disclaimer
THE SITE AND ALL PRODUCTS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.
While we take rigorous quality control measures and provide Certificates of Analysis (COAs) with our products, we make no warranty or representation regarding the suitability of any product for any specific research application. It is the Customer’s sole responsibility to determine whether any product is appropriate for their intended research use.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PHOENIX PEPTIDE LABS, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF RESEARCH RESULTS, COST OF PROCUREMENT OF SUBSTITUTE PRODUCTS, OR INTERRUPTION OF RESEARCH ACTIVITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR ANY PRODUCTS PURCHASED THROUGH THE SITE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR ANY PRODUCT PURCHASED THROUGH THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT(S) GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless Phoenix Peptide Labs, its officers, directors, members, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site or any products purchased through the Site; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your use of any product for any purpose other than lawful in-vitro research; or (e) any claim by a third party arising from your actions or omissions.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
13.2 Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, that cannot be resolved through good-faith negotiation within thirty (30) days of written notice shall be settled by binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Wilmington, Delaware. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
13.3 Class Action Waiver
YOU AND PHOENIX PEPTIDE LABS AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST PHOENIX PEPTIDE LABS.
13.4 Small Claims Exception
Notwithstanding the arbitration provision above, either party may bring an individual action in small claims court for disputes within that court’s jurisdictional limits.
14. Electronic Communications and Consent
By using the Site, creating an account, or placing an order, you consent to receive electronic communications from us, including order confirmations, shipping notifications, account alerts, subscription renewal reminders, customer service correspondence, and other transactional messages. These electronic communications satisfy any legal requirement that such communications be in writing.
If you opt in to receive promotional or marketing emails, you may unsubscribe at any time by clicking the “unsubscribe” link in any marketing email or by contacting us at support@phoenixpeptidelabs.com. Unsubscribing from marketing emails will not affect transactional communications related to your orders or account.
15. Third-Party Links and Services
The Site may contain links to third-party websites or services that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party websites. The inclusion of any link does not imply endorsement by Phoenix Peptide Labs. You access third-party sites at your own risk.
16. Force Majeure
Phoenix Peptide Labs shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, pandemics, government actions or restrictions, supply chain disruptions, carrier delays, power outages, acts of war or terrorism, or labor disputes. In such events, our obligations will be suspended for the duration of the force majeure event.
17. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
18. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of Phoenix Peptide Labs.
19. Entire Agreement
These Terms, together with our Privacy Policy, Refund, Return & Cancellation Policy, and any other policies or agreements expressly referenced herein, constitute the entire agreement between you and Phoenix Peptide Labs regarding your use of the Site and purchase of products. These Terms supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the subject matter herein.
20. Assignment
You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
21. Modifications to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page and, where appropriate, notify you by email or through a prominent notice on the Site. Your continued use of the Site or placement of orders after the effective date of any modifications constitutes your acceptance of the revised Terms. The version of these Terms in effect at the time of your order governs that transaction.
